1. Introduction

Welcome to Venastra. These Terms and Conditions ("Terms") govern your use of our website, software, and services. By accessing or using our platform, you agree to be bound by these Terms.

Venastra has been operating as a technology provider since 2016. Our mission is to provide institutional-grade infrastructure for financial brokers.

"Service" refers to the VertexFX software, White Label solutions, APIs, and any related support services provided by Venastra.

2. Software License & Usage

Upon purchasing a subscription or license, Venastra grants you a limited, non-exclusive, non-transferable, and revocable license to use our software solely for your business operations.

  • You may not resell, redistribute, or reverse-engineer any part of the Venastra source code.
  • You are responsible for maintaining the confidentiality of your administrative access credentials.
  • Usage of our API must comply with our "Fair Use Policy" to ensure server stability for all clients.

3. Payments & Billing

Services are billed on a subscription basis (Monthly or Annually). Payments are due at the beginning of each billing cycle.

  • Setup Fees: Any one-time setup fees are non-refundable once the deployment process has started.
  • Late Payments: Failure to pay invoices within 7 days of the due date may result in temporary suspension of services.

4. Risk Disclaimer & No Financial Advice

IMPORTANT: Venastra is purely a technology software provider. We are not a financial broker, investment advisor, or liquidity provider.

We provide the tools (Platform, CRM, Bridge) for you to run your brokerage. However:

  • We do not execute trades or hold client funds.
  • We are not responsible for any trading losses incurred by you or your end-clients.
  • You acknowledge that foreign exchange (Forex) and CFD trading carry a high level of risk.
  • It is your sole responsibility to obtain the necessary legal licenses to operate a brokerage in your jurisdiction.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Venastra shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or goodwill.

In no event shall Venastra's total liability exceed the amount paid by you for the service in the three (3) months preceding the claim.

6. Termination

We reserve the right to terminate or suspend your account immediately, without prior notice, if you breach these Terms, including but not limited to:

  • Using the software for illegal activities.
  • Attempting to compromise our server security.
  • Non-payment of service fees.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Insert Your Country/State Here], without regard to its conflict of law provisions.
